Acquisition of CMC Investments and CMC South Africa by Digital Centers for Data and Communications Company

Digital Centers For Data and Communications Company ("Center3" or the "Acquirer") is a limited liability company established under the laws and regulations of the Kingdom of Saudi Arabia. The Acquirer owns data centres and is a provider of networking services in Saudi Arabia. The Acquirer intends to purchase all of the ordinary shares of, and acquire sole control in, two holding companies, namely CMC Investments I Limited ("CMC Investments") and CMC SA Investments Proprietary Limited ("CMC SA") (CMC Investments and CMC SA are referred to collectively as the "Targets") (the "Proposed Transaction"). CMC Investments and CMC SA constitute CMC Networks, a global service provider headquartered in South Africa. The Targets are Pan-African connectivity providers providing data connectivity services and managed connectivity solutions to businesses. The Targets predominantly operate a wholesale business model to provide data connectivity services to international carriers (global telecommunications operators) which would like to extend their services offering with enterprise grade connectivity in Africa and the Middle East as part of a broader service to large multinational companies with a presence in these regions. The parties have executed inter-conditional Sale of Shares Agreements in respect of the acquisition of the shares in the Targets. Following the completion of the Proposed Transaction, the Acquirer will acquire control over the Targets.
